1. Definitions

In these Terms, the following definitions apply:

  • Platform- Noyu's website at noyu.health and any related mobile applications, dashboards, software and APIs.
  • Member - The individual who creates an account and uses the Services.
  • Membership - Your subscription to the Services.
  • Services - The health tracking and insights features provided through the Platform, including blood test result analysis, wearable data integration, lifestyle questionnaires, and AI-assisted health insights.
  • Health Data - Personal data relating to your physical or mental health, including blood test results, biomarkers, vital signs and wearable device metrics.
  • Third-Party Provider - Any independent laboratory, wearable manufacturer, or other entity that supplies services, equipment or data which integrate with the Platform.

Noyu is operated by PROJECT 120 LTD, a company registered in England and Wales (company number 16584137) with registered office at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE. You can contact us at hello@noyu.health.

3. Acceptance of terms

By creating an account or using the Platform, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access the Services. You must be at least 18 years old to use the Platform.

4. Description of services

Noyu is a platform that connects and interprets data from multiple sources to help you understand your health. Our Services include:

  • Blood test analysis - Integration with laboratory results to display and interpret your biomarker data.
  • Wearable integration - Connection to devices and apps like Apple Health, Garmin, and Oura to incorporate activity, sleep, heart rate, and other health metrics.
  • Lifestyle questionnaires - Structured questions to understand your habits, goals, and health context.
  • Digital dashboard - A personalised view of your health data with trends and insights.
  • AI-assisted insights - Interpretations and recommendations based on your combined health data.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will notify you of material changes where reasonably possible.

5. Member accounts

To use the Services, you must:

  • Create an account with accurate and complete information
  • Keep your login credentials secure and confidential
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised access

6. Acceptable use

You agree not to:

  • Use the Services for any illegal or unauthorised purpose
  • Violate any applicable laws or regulations
  • Transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the Platform or servers
  • Impersonate any person or entity
  • Share or sell your account credentials
  • Scrape, copy, or commercially exploit any part of the Platform

We may suspend or terminate accounts that breach these rules without refund.

7. Health information disclaimer

The Services are designed to help you understand your health data, but they are not a substitute for professional medical advice, diagnosis, or treatment.

  • Always seek the advice of your doctor or other qualified health provider with any questions about a medical condition.
  • Never disregard professional medical advice or delay seeking it because of something you have seen on this Platform.
  • If you think you may have a medical emergency, call your doctor or emergency services immediately.
  • The insights we provide are informational only and should not be used to make medical decisions.
  • AI-generated insights may be inaccurate, incomplete, or inconsistent. They do not constitute medical advice and should not be relied upon as a substitute for professional care.

8. Fees and payment

Some features of the Platform may require payment. All fees are displayed before purchase and are inclusive of VAT where applicable. Payments are processed securely by our payment provider. You agree to provide accurate payment information and authorise us to charge the applicable fees.

Founding Members

Members who subscribe during our early access period may be designated as Founding Members. Founding Members pay a discounted subscription price for their first year of Membership, after which the subscription renews at our then-current standard rate on each anniversary. Founding spaces are limited and the Founding Members programme may close at any time without notice.

We reserve the right to modify or discontinue the Founding Members programme at our discretion. Where we materially change your subscription price or benefits, we will give you reasonable notice and, where applicable, offer a pro-rata refund for any prepaid subscription period you no longer wish to continue.

9. Cancellation and refunds

You may cancel your Membership at any time from your account settings. What happens next depends on when you cancel and whether we've started delivering the Services to you.

Before launch (on or before 30 June 2026)

If you cancel before we open bookings on 1 July 2026, we will cancel your subscription immediately and refund your payment in full.

14-day cooling-off period

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have 14 days from signing up to cancel for a full refund. This right applies to Members in the United Kingdom.

If you book a blood draw within the 14-day period, you are expressly requesting that we begin providing the Services immediately and you acknowledge that your right to cancel is lost to the extent the Services have been supplied - we cannot un-book the clinic slot or un-ship the sample kit. In practice, booking a draw ends your automatic refund right, though we may still offer a partial refund on request.

After cooling-off

After the 14-day cooling-off period ends, or once you have booked a blood draw, cancellation takes effect at the end of your current paid period. You will keep full access to the Services until then and you will not be charged again.

We do not automatically refund cancellations in this window. If you believe you are due a refund, please contact us at hello@noyu.health and we will consider refund requests on a case-by-case basis.

Refund processing

Approved refunds are processed to the original payment method within 10 business days. Nothing in this section affects your statutory rights as a consumer.

10. Intellectual property

The Platform and its original content, features, and functionality are owned by PROJECT 120 LTD and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Platform for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written permission.

11. Your content

When you upload or connect data to the Platform (including Health Data, questionnaire responses, and wearable feeds), you retain ownership of that content.

By submitting content, you grant us a worldwide, royalty-free licence to use, store, and process your content for the purpose of providing the Services, improving our Platform, and creating anonymised or aggregated insights.

We do not use your Health Data for advertising or marketing purposes. We do not sell your Health Data to advertising platforms, data brokers, or information resellers. We do not share your identifiable Health Data with third parties for their advertising or data mining purposes.

12. Third-party services

The Platform may integrate with Third-Party Providers such as laboratories, wearable devices, and health apps. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

13. Privacy

Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Please review our Privacy Policy carefully.

14. Termination

We may suspend or terminate your account and access to the Services if you breach these Terms, fail to pay applicable fees, or engage in behaviour that compromises safety or the lawful operation of the Platform. Upon termination, your right to use the Services will cease. You may retain read-only access to your historic data for a reasonable period, after which it may be deleted.

15. Disclaimers and limitation of liability

The Services are provided "as is" and "as available" without warranty of any kind. While we use reasonable skill and care, we do not guarantee that the Platform will be uninterrupted or error-free.

To the maximum extent permitted by law, PROJECT 120 LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.

Our maximum aggregate liability under these Terms shall not exceed the total fees you have paid in the twelve months preceding the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

16. Indemnification

You agree to indemnify and hold harmless PROJECT 120 LTD and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, or content you upload that infringes the rights of others.

17. Force majeure

We shall not be liable for any delay or failure to perform our obligations if such delay or failure results from circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government action, power outages, or failure of third-party services.

18. Accessibility

We are committed to making the Platform accessible to all Members, including those with disabilities. We aim to meet WCAG 2.1 AA standards. If you experience any difficulty using the Platform, please contact us at hello@noyu.health so we can assist and address any accessibility barriers.

19. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales. If you reside elsewhere in the United Kingdom, you may also bring proceedings in the courts of your habitual residence. Nothing in these Terms affects your statutory rights as a consumer.

20. Changes to terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Services after that date means you accept the updated Terms.

21. General

  • No waiver of any breach shall be deemed a waiver of any subsequent breach.
  • If any provision is held to be unenforceable, the remaining provisions shall remain in full force.
  • These Terms, together with the Privacy Policy, constitute the entire agreement between you and PROJECT 120 LTD regarding the Services.
